The terms governing your use of the Synthorai LLM API gateway — billing, API keys, BYOK, and acceptable use.
These Terms of Use ("Terms") are a binding agreement between you and Synthorai Technology Inc. ("Synthorai", "we", "us", or "our") and govern your access to and use of the Synthorai platform, including our API gateway, web console, websites, and related services (together, the "Services"). By creating an account, generating an API key, or otherwise using the Services, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.
You must be at least 18 years old and able to form a binding contract to use the Services. If you use the Services on behalf of an organization, you represent that you are authorized to bind that organization to these Terms, and "you" refers to that organization.
Synthorai is a developer gateway that provides a single, OpenAI-compatible interface for sending requests to a range of third-party artificial-intelligence model providers (such as OpenAI, Anthropic, and Google). When you send a request, we route it to the model provider you select, return the response to you, and meter your usage. We act as a conduit; we do not create, own, or operate the underlying models.
We may add, change, or remove available models, features, and endpoints, and the models we offer are subject to the availability, capabilities, and pricing set by their providers. We do not guarantee that any particular model will remain available.
To use most of the Services you must create an account and generate one or more API keys. You are responsible for maintaining the confidentiality of your account credentials and API keys, and for all activity that occurs under them, whether or not authorized by you. Treat your API keys like passwords: do not share them or embed them in client-side code, and rotate or revoke them promptly if they may have been exposed.
You agree to provide accurate account information and to keep it up to date. Notify us promptly at support@synthorai.ai if you suspect any unauthorized use of your account.
The Services are pay-as-you-go. You add funds to your account balance in advance through our payment processor, and each request you make draws from that balance based on the model and the volume of the request. Current pricing, including any platform or usage fees, is shown on our pricing page; prices for models are set by their providers and may change, and the price that applies is the one in effect when the request is made.
Promotional credits, free-trial credits, and similar incentives may be offered from time to time subject to additional conditions, may expire, and have no cash value except as required by law. Payments are processed by our payment processor under its own terms; we do not store your full card details.
Refunds. Unused, non-promotional balance is refundable on request within a limited window after purchase (currently 7 days), processed back to your original payment method; promotional or bonus credits are not refundable. You agree not to initiate chargebacks for charges you can resolve with us directly, and we may suspend accounts associated with fraudulent payments or chargeback abuse.
The Services let you optionally supply your own credentials for a model provider ("BYOK") so that your requests are billed to and fulfilled under your own account with that provider. BYOK requests are billed to you by the provider and are not deducted from your Synthorai balance. If you use BYOK, you are responsible for your relationship and agreement with that provider, for the security of the credentials you provide, and for any charges the provider bills to you. We store BYOK credentials in encrypted form and use them only to route the requests you direct to that provider; you can remove them at any time.
You may use the Services only for lawful purposes and in compliance with these Terms, all applicable laws, and the usage policies of the model providers you call. You are responsible for the inputs you submit and for how you use the outputs you receive.
You agree not to use the Services to: violate any law or the rights of others; generate or distribute content that is illegal, infringing, defamatory, or that sexually exploits or endangers minors; develop or deploy anything intended to cause harm; attempt to bypass, disable, or interfere with rate limits, security, or usage controls; probe, scan, or reverse engineer the Services except to the extent that restriction is prohibited by law; resell or provide the Services in a way that violates a provider's terms; or send us content you are not permitted to share. We may set and enforce technical limits and may block requests that appear abusive.
You also represent and agree that you are not located in, and will not use the Services on behalf of anyone located in, a country or region subject to comprehensive government sanctions, that you are not identified on any restricted-party or denied-persons list, and that you will comply with all applicable export-control and sanctions laws in your use of the Services and any model outputs.
The models available through the Services are operated by third-party providers, and your use of a model is also subject to that provider's terms and policies. When you route a request, your input is transmitted to the provider you select, which generates the response; that provider handles your content under its own terms, including its own retention and model-improvement practices, as further described in our Privacy Policy.
Outputs are generated by AI and may be inaccurate, incomplete, offensive, or otherwise inappropriate, and may not be unique to you. We do not warrant the accuracy, reliability, or fitness of any output, and you are solely responsible for evaluating outputs and for any decisions or actions you take based on them. Do not rely on outputs as a substitute for professional advice.
We and our licensors own all rights in the Services, including the software, interfaces, and branding; these Terms do not grant you any rights in them except the limited right to use the Services as permitted here. You retain the rights you hold in the inputs you submit ("Your Content"). As between you and us, we claim no ownership of the outputs generated for you; any rights in, and any restrictions on, those outputs are determined by applicable law and by the terms of the model provider that generated them.
You grant us a limited license to process Your Content solely to operate and provide the Services — principally, to route it to the provider you select and return the result. Consistent with our Privacy Policy, we do not retain the content of your requests or responses by default. You represent that you have the rights necessary to submit Your Content and to permit this processing. If you send us feedback or suggestions about the Services, you grant us a perpetual, irrevocable, royalty-free license to use them for any purpose without obligation to you. If you believe content available through the Services infringes your intellectual property, contact us at support@synthorai.ai and we will respond as required by applicable law.
The Services and all outputs are provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Services will be uninterrupted, secure, or error-free, that any model or provider will be available, or that outputs will be accurate or suitable for your purposes. Some jurisdictions do not allow the exclusion of certain warranties, so some of these exclusions may not apply to you.
To the maximum extent permitted by law, neither Synthorai nor its suppliers will be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to your use of the Services, even if advised of the possibility of such damages. 00). Nothing in these Terms limits or excludes liability that cannot be limited or excluded under applicable law, or your obligations under the Indemnification section. We will give you prompt notice of any claim for which we seek indemnification and may participate in its defense with counsel of our choosing; you may not settle any claim in a way that imposes any obligation or admission on us without our prior written consent.
You may stop using the Services and close your account at any time. We may suspend or terminate your access, with or without notice, if you violate these Terms, if required to protect the Services, other users, or third parties, or to comply with law. Upon termination, your right to use the Services ends; sections that by their nature should survive — including payment obligations, intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution — will survive. Where we terminate your account without cause, we will refund your unused, non-promotional balance, and the limited refund window in the Credits, Billing, and Refunds section does not apply to that refund.
We may modify the Services or these Terms from time to time. If we make a material change to these Terms, we will provide notice by posting the updated Terms with a new "Last Updated" date and, where appropriate, through an in-product or email notice. For material changes, we will provide advance notice and, where required by applicable law, obtain your consent before they apply to you. Changes are effective when posted unless stated otherwise, and your continued use of the Services after a change takes effect constitutes acceptance of that change. If you do not agree to a change, you must stop using the Services.
These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. Before filing a claim, you agree to first contact us at support@synthorai.ai and attempt to resolve the dispute informally for at least 30 days.
If a dispute cannot be resolved informally, it will be resolved exclusively in the state or federal courts located in California, and you and Synthorai each consent to the personal jurisdiction of those courts and waive any objection to venue there. Nothing in this section prevents either party from seeking injunctive or other equitable relief for intellectual-property or unauthorized-use matters, or from bringing a qualifying individual claim in small-claims court.
These Terms, together with the Privacy Policy and any additional terms we present for specific features, are the entire agreement between you and us regarding the Services. If any provision is found unenforceable, the remaining provisions will stay in effect. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Neither party is liable for any failure or delay in performance caused by events beyond its reasonable control.
